We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our website or services after any changes constitutes your acceptance of the updated terms.

2. Our Services

2.1 Service Description

Drole Technologies Private Limited provides custom software development, AI workflow automation, mobile application development, ERP systems, web development, cloud and DevOps services, API integration, and related technology consulting services.

2.2 Service Agreements

Specific terms, deliverables, timelines, and pricing for any project engagement are governed by a separate Statement of Work or Project Agreement. In the event of any conflict between these Terms and a project-specific agreement, the project-specific agreement shall prevail.

2.3 Service Availability

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of services.

3. Client Obligations

3.1 Accurate Information

You agree to provide accurate, complete, and current information when engaging our services. Inaccurate or incomplete information may affect the quality of our deliverables.

3.2 Cooperation

Successful project delivery requires active client participation. You agree to provide timely feedback and approvals, make key stakeholders available for meetings, respond to queries within agreed timeframes, and participate in project reviews.

3.3 Legal Compliance

You are responsible for ensuring that your use of our services complies with all applicable laws and regulations in your jurisdiction, including data protection laws, industry-specific regulations, and intellectual property laws.

3.4 Lawful Use

You agree not to use our services for any unlawful purpose, to develop software intended for illegal activities, or to infringe upon the intellectual property rights of others.

4. Intellectual Property

4.1 Client Ownership

Upon receipt of full payment, all custom software, code, designs, and deliverables created specifically for your project become your intellectual property, unless otherwise agreed in writing.

4.2 Drole Technologies IP

We retain ownership of all pre-existing intellectual property including our proprietary frameworks, tools, methodologies, and generic components developed independently of your project. Where incorporated into your project, we grant you a perpetual, non-exclusive licence to use them as part of the delivered solution.

4.3 Third-Party Components

Software we develop may incorporate third-party open-source components. We will disclose the use of any such components and ensure they are used in accordance with their respective licences.

4.4 Portfolio Rights

Unless you request otherwise in writing, we reserve the right to reference your company name and describe the general nature of the project in our portfolio and marketing materials. We will not disclose confidential technical details without your written consent.

5. Payment Terms

5.1 Invoicing

Payment terms for each project are specified in the project agreement. Unless otherwise agreed, invoices are due within 30 days of the invoice date.

5.2 Late Payment

We reserve the right to suspend work if payment is not received by the due date. Late payments may incur interest charges as specified in the project agreement.

5.3 Expenses

Any third-party costs or licences incurred in connection with your project will be discussed and agreed in advance and invoiced separately or included in the project agreement.

5.4 Refunds

Work completed and delivered in good faith is generally non-refundable. If you believe there is a quality issue, please contact us at connect@droletechnologies.com to resolve the matter.

6. Confidentiality

6.1 Mutual Confidentiality

Both parties agree to treat as confidential all information shared in connection with project engagements, including business processes, technical specifications, financial information, and strategic plans. This obligation survives termination of any project.

6.2 NDA

We are happy to sign a formal Non-Disclosure Agreement before any project discussions begin. Please contact us at connect@droletechnologies.com to arrange this.

6.3 Exceptions

Confidentiality obligations do not apply to information that is publicly available, independently developed by either party, or required to be disclosed by law.

7. Warranties and Representations

7.1 Our Warranty

We warrant that our services will be performed with reasonable skill and care, and that software we deliver will substantially conform to agreed specifications at the time of delivery. We provide a post-launch support period as specified in the project agreement.

7.2 Disclaimer

Except as expressly stated, our services and deliverables are provided on an "as is" basis. We do not warrant that software will be error-free or uninterrupted, or that it will meet requirements not specified in the agreed scope.

7.3 Client Warranty

You warrant that you have the right to provide any materials or content you share with us, and that such materials do not infringe the intellectual property rights of any third party.

8. Limitation of Liability

8.1 Limitation

To the maximum extent permitted by law, our total liability for any claim shall not exceed the total fees paid by you in the three months preceding the claim.

8.2 Exclusions

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if we have been advised of the possibility of such damages.

8.3 Force Majeure

We shall not be liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, power failures, or internet outages.

9. Termination

9.1 Termination by Client

You may terminate a project by providing written notice as specified in the project agreement. You will be responsible for payment for all work completed up to the date of termination.

9.2 Termination by Drole Technologies

We reserve the right to terminate a project if you breach these Terms and fail to remedy the breach within 14 days of written notice, or if you fail to make payment when due.

9.3 Effect of Termination

Upon termination, we will deliver all completed work upon receipt of payment for work completed. Provisions relating to intellectual property, confidentiality, payment, and liability survive termination.

10. Governing Law

10.1 Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Coimbatore, Tamil Nadu, India.

10.2 Dispute Resolution

Both parties agree to attempt to resolve any dispute through good faith negotiation before resorting to formal legal proceedings.

11. General Provisions

11.1 Entire Agreement

These Terms, together with any applicable project agreement, constitute the entire agreement between you and Drole Technologies regarding the subject matter hereof.

11.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

11.3 Waiver

Our failure to enforce any provision shall not constitute a waiver of our right to enforce such provision in the future.

11.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent.
